Livium Ltd (ASX: LIT) (“Livium” or the “Company”) is pleased to release its quarterly business update and
Appendix 4C for the period ended 30 June 2026 (Q4 FY26 ).
Livium CEO and Managing Director, Simon Linge commented “Q4 FY26 delivered solid operational progress,
although financial performance remained below our expectations. Envirostream generated revenue of A$1.65 million and
gross profit of A$0.64 million, with results continuing to be affected by the timing and mix of battery volumes.
“During the quarter, we continued to strengthen our customer and partnership base. We formalised a recycling services
framework with CATL, completed the Alkimos BESS project for Synergy and commissioned additional processing
capacity to support increased v olumes under the Sell & Parker agreement.
“We also advanced our recycling adjacencies, including rare earth element recovery with the University of Melbourne,
black mass collaboration with Sumitomo Corporation and engagement with the Australian data centre sector.
“Over the past 12 months, we have confirmed Livium’s recycling -centric strategy, with Envirostream at the core of the
Group and selected adjacencies providing additional growth opportunities. Our efforts are now focused on progressing
the Group toward cash neutrality through disciplined cost management, growth in recycling revenues and resolution of
VSPC.”
Battery Recycling Vertical
Livium's subsidiary, Envirostream Australia Pty Ltd ( Envirostream ), is Australia’s market -leading lithium-ion battery ( LIB )
recycler. Envirostream is seeking to build its services into processing black mass, and recycling of solar panels and rare -
earth elements to meet its customers' needs.
Operating and Financial Summary
During the quarter, Envirostream achieved revenue of A$ 1.65m (pcp 7
: A$1.79m), generating gross profit of A$ 0.64m (pcp:
A$1.25m), representing a gross margin of 39% (pcp: 70%). Total battery collections were 231tonnes (pcp: 226 tonnes) ,
of which 134 tonnes related to lithium-ion batteries (pcp: 193 tonnes) .
During FY26 , a higher proportion of Non-LIB volumes has been relative to FY25 . This primarily relates volumes associated
with a NSW EPA mixed -battery clean -up which occurred in both the first half (H1) and second half (H2) of FY26 . Non-LIB
volumes are typically more complex to manage than LIBs and therefore require higher costs . FY26 gross profit margins
were negatively impacted as an outcome of the “mix” impact of these Non -LIB volumes.

Customer growth
During the quarter, Envirostream formalised a Recycling Services Framework Agreement with CATL HK, a subsidiary of
Contemporary Amperex Technology Co., Limited (CATL), the world's leading lithium -ion battery manufacturer. The
Agreement establishes a struct ured framework for battery collection, logistics, recycling, certification and reporting under
agreed purchase orders, with an initial term through to May 2029.
Envirostream also executed a variation with key customer Sell & Parker, extending the agreement term by approximately
one year and introducing a deposit to fund an additional dedicated processing line at Campbellfield. The variation is
designed to accelera te volumes under the agreement following slower than anticipated volume receipts.
Volumes continue to be influenced by project -based decommissioning activity and regulatory approval processes, while
new customers continue to adapt to Australian compliance requirements. These factors can result in variability in the
timing of volumes bet ween periods; however, they are largely timing -related in nature, with volumes expected to be
realised over time as the market continues to mature .
Synergy Alkimos BESS Project
Envirostream completed a strategic battery recycling project for Synergy's Alkimos Beach Community Battery Energy
Storage System (Alkimos BESS) during the quarter, delivering a fully integrated end -of-life solution including logistics,
dismantling, process ing and material recovery. The project recovered approximately 11.6 tonnes of material from 348
lithium-ion battery modules, an overall recycling rate of approximately 71.5%, and provides a foundation for Envirostream's
continued expansion in Western Austr alia.
Battery Recycling Outlook
Battery recalls continue to represent a source of potentially significant future recycling volumes for Envirostream.
Current Australian recall notices cover approximately 7 ,900 electric vehicles with high -voltage battery -related defects,
including Volvo EX30 8
, Hyundai Kona EV 9
and Hyundai Ioniq EV10
models . The recalls may require battery-cell, module or
other component rectification. Remediation under these recalls is typically staged , often starting with software update s.
Given the costs involved, manufacturers tend to exhaust other possible fixes before moving to a full battery replacement
— a process that can elongate the timelines to receive recall -driven volumes.
Stationary energy storage systems are also subject to ongoing Australian recall programs. These include certain Tesla
Powerwall 2 systems 11
containing battery cells that may fail and overheat, with affected units to be replaced, and a range
of LG residential energy -storage batteries 12
.
While the number and timing of batteries becoming available for recycling remain uncertain, these recalls demonstrate a
viable source of both EV and ESS batteries requiring safe collection, transport and end -of-life processing.
Envirostream’s Derrimut Hub is now Envirostream's primary Victorian site, providing capacity to scale processing from
approximately 2,400tpa to an estimated 10,660tpa as volumes increase. Campbellfield operations, including the
additional processing line f unded under the Sell & Parker deposit, are expected to relocate to the Hub at a later date,
subject to approvals.
Livium continues to progress its "Hub and Spoke" model, with Western Australia remaining a priority Spoke region, and
continues to assess strategic partnerships and M&A opportunities to support the measured expansion of its battery
recycling operations.

Other Recycling Verticals
Successful Next -Stage Scaling of REE Technology with UoM
Livium continued to advance its Rare Earth Elements (REE) extraction program with the University of Melbourne (UoM),
successfully scaling Stage 1 testwork 10x to a 1.0 gram sample size while maintaining recovery rates of over 90% for both
Neodymium (Nd) an d Praseodymium (Pr), including a ~10% improvement in Pr recovery relative to initial results in
November 2025.
Operating temperatures were reduced from 210°C to 180°C, delivering approximately 15% energy savings while retaining
~90% recovery, with testing continuing toward a target of 150°C. The process also demonstrated improved selectivity,
with reduced iron (Fe) leaching supporting more efficient downstream purification. These results support continued Stage
1 development and inform the pathway toward Phase 2, which targets a further ~100x scale -up toward pilot -scale
validation.
Black Mass Collaboration with Sumitomo Corporation
During the quarter, Livium signed a non -binding Memorandum of Understanding (MOU) with Sumitomo Corporation, a
Fortune Global 500 Japanese trading and business investment company, to progress discussions regarding the potential
sale and purchase of black m ass and broader collaboration relating to Envirostream's black mass manufacturing line.
Sumitomo Corporation's global network and established downstream relationships may support Livium's access to global
battery materials markets and demand channels. The MOU builds on Livium's existing binding black mass off -take
agreement with SungEel HiTec h, which provides contracted volume certainty through to June 2027. Livium and
Sumitomo Corporation are now working towards finalising definitive agreements.
There was no material update to Livium's photovoltaic (PV) recycling partnerships with Iondrive and Won Kwang S&T
during the quarter.
Data Centre Battery Recycling Opportunity
During the quarter, Livium expanded its growth strategy to target the emerging battery recycling opportunity created by
Australia's accelerating data centre build -out, commencing engagement across the Australian data centre ecosystem,
including operators a nd developers, to assess how Envirostream can support future battery retirement and recycling
requirements.
Data centre operators rely on large -format backup battery systems, historically lead -acid and increasingly lithium -ion,
that require auditable, onshore recycling pathways as replacement cycles mature and e -waste regulation tightens.
Envirostream's EPA -licensed processing capability, national collection network and established chain -of-custody
processes position it to support data centre operators and IT Asset Disposition (ITAD) partners as this market develops.
While there is no guarantee this engagement wi ll result in commercial volumes or customer agreements, Livium believes
the alignment between Envirostream's existing capabilities and the needs of data centre operators is clear.

Non‑Recycling Verticals
LieNA® Joint Venture – Technology Optionality
Livium’s 50:50 LieNA® Joint Venture with Mineral Resources Limited continues to progress in line with its
commercialisation pathway, remaining funded through FY27 and preserving longer -term optionality for partnerships and
potential monetisation. There were no material activities d uring the period.
VSPC – Strategic Funding Update
During the quarter, Livium advanced, non -binding discussions with a large multinational industrial organisation regarding
a potential strategic alliance and investment in Livium. Discussions relate to opportunities across battery materials,
battery recycling and potential int ernational growth pathways. The Company cautions that:
• Discussions remain incomplete and no binding agreement has been entered into
• There is no certainty that any transaction will proceed
• Any transaction would remain subject to confirmatory due diligence, negotiation and agreement of terms, execution
of definitive documentation and all required approvals
Discussions include a potential strategic alliance and investment related to VSPC's Gen4 LFP battery materials capability.
Commercialisation of VSPC’s Gen4 LFP battery materials capability represents a potentially significant opportunity .
However, further development requires substantial capital investment, including external co-funding require d to access
the up to A$30 million ARENA grant. Given the scale of the funding required and Livium’s other capital priorities, the
Company is not currently in a position to fund the required investment from its own balance sheet .
The Company has previously stated that , if strategic funding is not confirmed by 30 June 2026, it would undertake the
actions necessary to preserve or realise value while minimising future VSPC spend . In light of progress in the current
discussions , the Company has continued the strategic alliance and investment process beyond that date .
Subsequent to the quarter, th e Company executed two funding agreements with The Lind Partners (“Lind ”) and
launched a Share Purchase Plan. The Lind funding provides an initial A$1.575 million in initial gross funding and minimum
gross funding of A$2.4 million 13
. The Lind agreements are expected to provide sufficient funding to complete the current
strategic alliance and investment process and, if required, undertake the actions necessary to preserve or realise value
while minimising future VSPC spend.
If the current strategic alliance and investment process ceases without resulting in such a binding transaction, the
Company will promptly commence an orderly shutdown of VSPC’s current operations and transition the business to care
and maintenance. The Co mpany intends to conclude the process, or determine that it will not proceed, in sufficient time
to permit any required shutdown and transition to be completed by 31 December 2026.
A binding transaction that provides a funded pathway for VSPC would reduce Livium’s future funding requirement for
VSPC. If the process ceases without such a transaction, the orderly shutdown and transition to care and maintenance
are expected to reduce on going VSPC expenditure. Under a care -and-maintenance model, limited activities would
continue to preserve VSPC’s technology, intellectual property and other strategic assets, while retaining flexibility to
pursue future opportunities to realise value from VSPC.
Corporate and Financial Update
During the quarter, Livium completed the relocation of its head office and Laverton North operations to the Derrimut Hub.
Livium continues to assess strategic partnerships and M&A opportunities to support the measured expansion of its
battery recycling operations.

As at 30 June 2026 , Livium held cash of approximately A$ 2.3 million. The Company’s efforts are now focused on
progressing the Group toward cash neutrality through disciplined cost management, growth in recycling revenues and
resolution of VSPC, as outlined above.
Insurance Claims Update – Envirostream
Envirostream has previously been served writs in regard to damage caused by a fire at 31 Colbert Road, Campbellfield,
Victoria, on 19 January 2019. These claims have resulted in a A$5.4m provision within the balance sheet of the group.
The insurer has inde mnified Envirostream, as policy holder, for claims made and has settled prior claims. Future insurer
settlements would result in reversal of the relevant provision on Livium’s balance sheet.
No future claims are expected as the six -year limitations period under the Limitations of Actions Act (Vic) passed in
January 2025.
Subsequent to the quarter, the Company has been advised that settlement offers have been put to certain claimants by
the insurer. The se particular claim ants comprise more than 50% of the provision on the balance sheet. Whilst it is unclear
whether these offers will be accepted, the y demonstrate how proceedings have continued to progress through the Court
process .
The timing and ultimate outcome of the claims remain uncertain. Accordingly, no adjustment to the provision has yet
been recognised during the year to 30 June 2026 .
